Terms of Business

1. Introduction
These Terms of Business ("Terms") set out the terms and conditions under which The ADHD Workshop Ltd ("we," "us," or "our") will provide coaching services to organisational clients ("you" or "your") under the Access to Work scheme. By engaging our services, you agree to be bound by these Terms.
2. Parties
These Terms apply to the following parties:
The Organisation ("you" or "your"), who is engaging our services.
The Employee/Coachee ("employee" or "coachee"), who will receive the coaching services funded by the Access to Work grant.
The ADHD Workshop ("we," "us," or "our"), who is delivering the coaching services.
3. Services
We will provide coaching services to the coachee as specified in their Access to Work grant award letter. The coachee will also be required to sign a standard ICF (International Coaching Federation) contract prior to the commencement of coaching.
4. Fees and Payment
4.1 Fees: Our fees for coaching services will be outlined in our invoice to the organisation. All fees are exclusive of VAT unless otherwise stated.
4.2 Invoicing: We will invoice the organisation for the coaching services provided. Invoices will be issued in advance of coaching sessions commencing.
4.3 Payment Terms: Payment is due within 30 days from the date of the invoice. Payments should be made via bank transfer or Stripe to the account details provided on the invoice.
5. Access to Work Grant
5.1 Reimbursement: Under the Access to Work scheme, the organisation may be eligible for reimbursement from the Department of Work and Pensions (DWP) for the costs of our coaching services provided to the coachee.
5.2 Responsibility: It is the organisation’s responsibility to apply for and manage the Access to Work grant. We are not responsible for the grant application process or any decisions made by the DWP regarding eligibility or reimbursement.
5.3 Documentation: We will provide the organisation with any necessary documentation required by the DWP to support the reimbursement claim, including detailed invoices and service reports. However, we do not guarantee that these documents will meet all the requirements of the DWP.
6. Cancellation and Rescheduling
6.1 Cancellation by the Organisation: If the organisation or coachee needs to cancel a coaching session, they must provide at least 24 hours notice. Cancellations made with less notice may incur a cancellation fee equal to the value of the session.
6.2 Cancellation by Us: We reserve the right to cancel or reschedule coaching sessions with due notice. In such cases, we will offer alternative dates or a full refund for the cancelled session.
7. Confidentiality
7.1 Confidentiality: We are committed to maintaining the confidentiality of all information shared during coaching sessions. Any information provided by the organisation or the coachee will be kept confidential and will not be disclosed to third parties without consent, except as required by law or as necessary to perform our services.
8. Liability
8.1 Limitation of Liability: To the maximum extent permitted by law, our total liability to the organisation, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, arising under or in connection with these Terms, shall be limited to the total fees paid by the organisation for the coaching services in the 12 months preceding the event giving rise to the liability.
8.2 Exclusions: We will not be liable for any indirect, special, or consequential loss or damage arising under or in connection with these Terms, including but not limited to loss of profits, loss of business, or loss of data.
9. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
10. Amendments
We reserve the right to amend these Terms from time to time. Any amendments will be notified to the organisation in writing and will take effect from the date of such notice. If the organisation does not accept the amendments, it must notify us in writing within 30 days of receiving the notice, otherwise, it will be deemed to have accepted the amendments.
11. Entire Agreement
These Terms, together with any proposal or contract, constitute the entire agreement between the organisation and us regarding the provision of coaching services and supersede all prior agreements, understandings, or arrangements, whether oral or written.
12. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.
